ArtyShield Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, dashboards, tools, software, content, and related services provided by ArtyShield ("ArtyShield," "we," "us," or "our"), including products and services such as MusicShield, VoiceShield, VeriTune, VeriVoice, and any related beta, preview, or experimental offerings (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and in that case, "you" and "your" refer to that entity.
1. Eligibility
You may use the Services only if you are legally capable of forming a binding contract with ArtyShield and are not prohibited from using the Services under applicable law. If you use the Services on behalf of an entity, you represent and warrant that you have authority to act on its behalf.
2. Privacy
Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and disclose information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.
3. Accounts
To access certain Services, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us if you suspect unauthorized access to or use of your account.
We may suspend or restrict access to your account if we reasonably believe that your account is being used in violation of these Terms or in a manner that may harm the Services, other users, or ArtyShield.
4. The Services
ArtyShield provides tools and technologies designed to help users analyze, protect, process, transform, or manage creative or other digital content. The features, functionality, and availability of the Services may change from time to time.
ArtyShield does not guarantee the accuracy, completeness, effectiveness, reliability, or suitability of any detection, protection, analysis, score, report, output, or recommendation.
We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice, including by imposing or changing usage limits, technical requirements, eligibility requirements, or feature access restrictions.
5. Beta Services
Some Services or features may be designated as alpha, beta, preview, early access, evaluation, or similar non-production offerings ("Beta Services").
Beta Services may be incomplete, unstable, or contain errors, and their features or availability may change at any time without notice. Beta Services are provided for evaluation and testing purposes and may be subject to additional limitations. You use Beta Services at your own risk.
6. License to Use the Services
Subject to your compliance with these Terms, ArtyShield grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal lawful use and in accordance with any applicable documentation, plan limits, and technical restrictions.
This license does not grant you any right to:
- copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Services except as expressly permitted by us;
- reverse engineer, decompile, disassemble, or attempt to derive source code, models, algorithms, or underlying components of the Services, except to the extent such restriction is prohibited by law;
- access or use the Services to build, benchmark, train, or improve a competing product or service;
- circumvent or interfere with usage limits, access controls, or security measures;
- use the Services in violation of applicable law or third-party rights.
All rights not expressly granted to you are reserved by ArtyShield and its licensors.
6A. VeriTune Lite Model Terms
VeriTune Lite is licensed only for use through the ArtyShield website and only as part of the VeriTune Lite browser-based screening experience made available by ArtyShield.
You may not copy, download, extract, scrape, reverse engineer, decompile, disassemble, modify, redistribute, host, embed, expose, sublicense, sell, rent, lease, or otherwise use the VeriTune Lite model, model weights, model files, model architecture, model outputs, or related components outside the ArtyShield website except with ArtyShield's prior written permission.
You may not use VeriTune Lite, or any extracted or copied version of it, to provide any commercial, non-commercial, public, private, internal, third-party, competing, or derivative service outside ArtyShield.
VeriTune Lite results are provided for informational first-pass screening only. They are not a guarantee that a track is human-made or AI-generated and should not be treated as legal, forensic, or definitive evidence.
ArtyShield may limit, suspend, block, or terminate access to VeriTune Lite if we reasonably believe the model, files, outputs, or Services are being accessed or used in violation of these Terms.
7. User Content
"User Content" means any files, audio, voice, text, prompts, metadata, images, information, or other materials you upload, submit, transmit, or otherwise make available through the Services.
You retain any ownership rights you have in your User Content. ArtyShield does not claim ownership of your User Content.
You grant ArtyShield a limited, non-exclusive, worldwide, revocable license to host, copy, store, transmit, process, display, and otherwise use your User Content solely as reasonably necessary to:
- provide, maintain, and operate the Services;
- generate outputs or results requested by you;
- troubleshoot, secure, and monitor the Services;
- prevent fraud, abuse, or misuse;
- comply with applicable law, legal process, or governmental request;
- enforce these Terms.
You represent and warrant that:
- you own or control all rights necessary to submit and use the User Content with the Services;
- your User Content and use of the Services do not infringe, misappropriate, or otherwise violate any third-party rights, including intellectual property, privacy, publicity, contractual, or other rights;
- your User Content and use of the Services comply with applicable law.
8. AI/Model Training Use of User Content
Except as expressly described in these Terms or in our Privacy Policy, ArtyShield does not use your User Content to train or fine-tune general-purpose machine learning models.
However, ArtyShield may use operational data, system logs, performance data, and de-identified or aggregated information to maintain, secure, monitor, analyze, and improve the Services, provided such use does not identify you or disclose your User Content except as permitted by these Terms or the Privacy Policy.
If ArtyShield later offers any opt-in program involving model improvement, dataset contribution, or similar participation, such participation will be subject to separate notice or consent where required.
9. Outputs
The Services may generate processed files, analyses, reports, labels, scores, summaries, recommendations, or other outputs, including protected or transformed media files ("Outputs").
As between you and ArtyShield, and subject to your compliance with these Terms and any applicable payment obligations, ArtyShield assigns to you any rights it may have in Outputs generated specifically for you from your User Content, except for:
- ArtyShield technology, software, models, methods, algorithms, interfaces, templates, and underlying intellectual property;
- any generalized learnings, know-how, or system improvements;
- any third-party materials or components incorporated into the Services or Outputs.
You are solely responsible for reviewing and determining the suitability of any Outputs for your intended use.
ArtyShield does not guarantee that any Output will:
- prevent all unauthorized access, copying, extraction, training, imitation, reverse engineering, circumvention, or downstream use;
- be error-free, complete, accurate, or fit for any particular purpose;
- achieve any particular legal, technical, commercial, or evidentiary result.
10. Retention and Deletion
ArtyShield retains User Content only for as long as reasonably necessary to provide the Services, generate requested Outputs, maintain security and integrity, investigate misuse, comply with law, resolve disputes, and enforce these Terms, as further described in the Privacy Policy.
Although ArtyShield may design certain Services to minimize retention and delete uploaded content on a short timetable, deletion timing may vary depending on technical processes, system design, legal obligations, security needs, and operational requirements. You are responsible for maintaining your own backup copies of any User Content and Outputs you wish to preserve.
11. Acceptable Use
You may not, and may not permit any third party to, use the Services to:
- violate any law or regulation;
- infringe, misappropriate, or violate any third-party rights;
- upload, transmit, or distribute malicious code, malware, spyware, or harmful material;
- interfere with, disrupt, damage, or gain unauthorized access to the Services or related systems;
- probe, scan, test, or circumvent the security or integrity of the Services;
- scrape, harvest, or collect data from the Services except as expressly permitted;
- bypass plan limits, credit limits, access controls, rate limits, or technical restrictions;
- use the Services to develop, train, evaluate, benchmark, or improve competing products or services without our written permission;
- use the Services for fraud, deception, harassment, abuse, or unlawful surveillance;
- submit content that you do not have the right to use;
- resell, sublicense, or provide unauthorized access to the Services;
- use the Services in any manner that could damage, disable, overburden, or impair the Services.
We may investigate suspected violations and may suspend or terminate access, remove content, cooperate with law enforcement, or take any other action we deem appropriate.
12. APIs and Usage Limits
If ArtyShield makes APIs or developer tools available, your use of them is subject to these Terms and any additional documentation, technical requirements, usage policies, or plan-specific restrictions we provide.
You may not:
- share API credentials except as authorized;
- exceed or attempt to exceed rate limits, credit limits, or usage caps;
- use APIs in a manner that compromises security, stability, or performance;
- misrepresent API outputs or use APIs for prohibited use cases.
We may monitor API usage and suspend, throttle, restrict, or terminate API access at any time to protect the Services or enforce these Terms.
13. Fees, Billing, and Trials
Certain Services may require payment of fees, purchase of credits, or subscription to a paid plan. You agree to pay all applicable fees, charges, taxes, and other amounts associated with your use of the Services.
Unless otherwise stated:
- fees are stated in U.S. dollars;
- payments are non-refundable except as required by law or expressly stated by ArtyShield;
- you authorize ArtyShield and its payment processors to charge your selected payment method for recurring or usage-based fees, as applicable; and
- you are responsible for applicable taxes other than taxes based on ArtyShield's net income.
If your plan renews automatically, you authorize recurring charges until you cancel. To avoid renewal charges, you must cancel before the applicable renewal date.
Free trials, promotional credits, beta access, and similar offers may be subject to separate conditions and may be modified or terminated at any time. Promotional or free credits may expire, may be non-transferable, and may have no cash value except where required by law.
If payment cannot be completed, we may suspend or terminate your access to paid Services.
14. Third-Party Services
The Services may integrate with, interoperate with, or depend on third-party products, websites, models, APIs, hosting providers, payment processors, storage providers, or other services. ArtyShield is not responsible for third-party services, their availability, security, performance, or terms.
Your use of third-party services may be governed by separate terms between you and the applicable third party.
15. Intellectual Property Rights
The Services, including all software, code, models, algorithms, designs, interfaces, workflows, trade names, trademarks, service marks, logos, documentation, and content provided by ArtyShield, are owned by or licensed to ArtyShield and are protected by intellectual property and other laws.
Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
16. Feedback
If you provide suggestions, ideas, comments, bug reports, feature requests, or other feedback regarding the Services ("Feedback"), you grant ArtyShield a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise exploit that Feedback for any purpose without restriction, attribution, or compensation to you.
17. Suspension and Termination
You may stop using the Services at any time. If you have a paid subscription, cancellation will take effect in accordance with the applicable billing terms.
ArtyShield may suspend, restrict, or terminate your access to some or all of the Services at any time, with or without notice, if:
- you violate these Terms;
- we reasonably suspect fraud, abuse, security risk, or unlawful activity;
- required by law or third-party provider requirements;
- your use creates risk, harm, or potential liability for ArtyShield, the Services, or others; and
- fees remain unpaid.
Upon termination:
- your right to access and use the Services will cease;
- we may delete or disable access to User Content and account data in accordance with applicable law and our retention practices; and
- Sections that by their nature should survive termination will survive, including sections relating to ownership, disclaimers, liability limitations, indemnification, disputes, and payment obligations accrued prior to termination.
18. Disclaimers
THE SERVICES, INCLUDING ANY OUTPUTS, ANALYSES, APIS, DOCUMENTATION, BETA SERVICES, AND RELATED MATERIALS, ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTYSHIELD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, ARTYSHIELD DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- THE SERVICES OR OUTPUTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- ANY OUTPUT WILL PREVENT OR DETER THIRD-PARTY COPYING, MODEL TRAINING, EXTRACTION, CIRCUMVENTION, OR OTHER MISUSE; OR
- ANY DEFECTS OR ERRORS WILL BE CORRECTED.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARTYSHIELD OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTYSHIELD'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO ARTYSHIELD FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS (USD $100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold harmless ArtyShield and its officers, directors, employees, affiliates, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your User Content;
- your use of the Services or Outputs;
- your violation of these Terms;
- your violation of applicable law; and
- your infringement or misappropriation of any third-party right.
ArtyShield reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with ArtyShield in the defense of that matter.
21. Export and Sanctions Compliance
You may not use, export, re-export, or transfer the Services except as authorized by United States law and other applicable laws. You represent and warrant that you are not located in, under the control of, or a resident of any country or region subject to applicable embargoes or sanctions, and that you are not a prohibited or restricted party under applicable export or sanctions laws.
22. Dispute Resolution; Governing Law; Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
Unless otherwise required by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Georgia, and each party consents to the personal jurisdiction and venue of those courts.
23. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last Updated" date above. In some cases, we may provide additional notice.
By continuing to access or use the Services after updated Terms become effective, you agree to the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
24. General
These Terms constitute the entire agreement between you and ArtyShield regarding the Services, except for any separate written agreement between you and ArtyShield that expressly governs your use of specific Services.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
ArtyShield's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
You may not assign or transfer these Terms or any rights or obligations under them without ArtyShield's prior written consent. ArtyShield may assign these Terms without restriction.
